1. Acceptance of Terms

Welcome to Community Pledge ("we," "us," or "our"). We provide a fundraising and campaign management platform (the "Service"). By creating an account, or by accessing or using our Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our Service.

2. The Service

Community Pledge provides tools for teams to create and manage fundraising campaigns, including but not limited to, setting up campaign pages, uploading contact lists for outreach, managing pledges, and processing donations through third-party payment processors like Stripe. We are a platform provider and are not a charity, professional fundraiser, or financial institution.

3. User Accounts and Responsibilities

You must provide accurate and complete information when creating an account. You are solely responsible for all activity that occurs under your account and for keeping your password secure. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any losses caused by any unauthorized use of your account.

4. User-Generated Content and Data

Our Service allows you to upload, store, and manage data, including personal information about your contacts ("User-Generated Content"). You retain all rights to your User-Generated Content. However, you grant us a worldwide, royalty-free license to use, reproduce, modify, and display this content solely for the purpose of operating and providing the Service.

You represent and warrant that you have all necessary rights, consents, and permissions to upload and process your User-Generated Content, particularly any personal information of third parties (e.g., contact lists). You agree not to upload any data for which you do not have the proper legal authority. You agree to indemnify, defend, and hold harmless Community Pledge from any claims, damages, or losses arising from your breach of this warranty.

5. Prohibited Conduct

You agree not to use the Service to:

• Conduct any fraudulent, immoral, or illegal activities.
• Violate any applicable laws or regulations, including those related to privacy, data protection, and anti-spam (e.g., CAN-SPAM, CASL).
• Infringe on the intellectual property rights of others.
• Upload or transmit any viruses, malware, or other malicious code.
• Harass, abuse, or harm another person or group.
• Attempt to gain unauthorized access to our systems or another user's account.

6. Campaigns, Pledges, and Donations

All donation payment processing is handled by third-party payment processors, such as Stripe. You agree to be bound by the terms of service of any payment processor used in connection with your campaign. We are not responsible for the performance of any third-party payment processor.

We charge a platform fee on donations processed through the Service, which will be disclosed during campaign setup. This fee is subject to change. We do not guarantee the success or outcome of any fundraising campaign.

7. Intellectual Property

The Service and its original content (excluding User-Generated Content), features, and functionality are and will remain the exclusive property of Community Pledge and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10. Limitation of Liability

In no event shall Community Pledge, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

11. Indemnification

You agree to defend, indemnify, and hold harmless Community Pledge and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms, especially including the warranties regarding User-Generated Content.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of our Service following the posting of changes will mean that you accept and agree to the changes.
